# Burundi: related-party profit adjustments and financing for 2026 v1.1

> **General reference only.** This Guide is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person's facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in Burundi.

## Who this applies to

Use for companies controlling or dependent on enterprises outside Burundi, including common-control structures. Art. 57 allows incorporation into taxable results of profits indirectly transferred abroad through purchase/sale prices, thin capitalisation or other means. For that article, dependency exists through majority capital, actual decision power or common control. Its dependency condition is waived where the transfer is to a privileged-tax jurisdiction or noncooperative country. Do not replace that article-specific test with an assumed universal shareholding percentage. [IR art. 57](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).

Art. 2 also defines linked persons more broadly, including direct/indirect 25% company participation/votes, common participation and family/control relationships. Use the applicable definition for each rule, including related financing, and record actual ownership and decision powers. [IR art. 2](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).

## Rates, bands and thresholds

| Item and conditions | Rule / amount | Period | Official source |
|---|---|---|---|
| Foreign associated-enterprise transaction documentation | Every Burundi-established legal person must keep pricing-policy support available; art. 57 states no monetary exemption | 2026 | [Art. 57](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf) |
| Related interest before July budget change | Nondeductible above 30% of taxable profit before related interest; limitation does not apply if total loans/advances during the fiscal year are < twice equity after removing reserves, provisions and carryforwards | 1 January–30 June 2026 rule | [Art. 56](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf) |
| Related interest under July budget | Paid interest capped at 30% of taxable profit before that interest; accrued unpaid related interest not deductible; interest rate must not exceed local-market average | 1 July–31 December 2026 rule | [Art. 157](https://www.obr.bi/images/LOI_DE_FINANCES_2026-2027_PROMULGUEE_compressed.pdf) |

## The base

1. Map each foreign counterparty, ownership/voting links, ultimate control, jurisdiction, contracts, transaction nature, amounts and actual performance. Separate genuine third parties and identify the privileged/noncooperative-jurisdiction override. Keep the group chart, contracts, invoices, functional facts, economic evidence and pricing-policy explanation. These are practical supporting records for the statutory duty, not a claim that Burundi mandates a particular OECD master/local-file template. [IR arts. 2 and 57](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).
2. Compare booked consideration with evidence for the price that properly belongs in Burundi taxable results. Explain functions, assets, risks and any comparability differences before relying on an independent price. Quantify the identified transfer and bridge the adjustment into accounting-to-tax profit. An invented margin, an unsigned contract or an invoice alone does not establish the correct price. Art. 57 permits OBR to ask for written information, including where documentation is missing or partial. [IR art. 57](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).
3. For debt, document principal throughout the year, adjusted equity, pre-interest taxable profit, payment/accrual status, contractual rate and local-market evidence. Apply the financing restriction independently of a price adjustment; avoid counting the same disallowance twice. Under the July wording the old below-twice-equity exception is not repeated. Do not carry it forward automatically or deduct unpaid interest. The annual computation where financing straddles the budget cutover needs a settled application basis, rather than an invented half-year prorating rule. [IR art. 56](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf); [Art. 157](https://www.obr.bi/images/LOI_DE_FINANCES_2026-2027_PROMULGUEE_compressed.pdf).
4. Reconcile the adjusted result and interest disallowance into the annual income return. Source withholding, VAT and a business expense's genuine purpose/evidence are separate tests; a supported transfer price does not waive those obligations. [IR arts. 54, 57 and 104](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).

## Deadlines and filing

Prepare the pricing support with the year’s accounts and retain it for production to OBR. Art. 57 is a keep-available and written-information duty, not evidence here of an annual standalone TP return or a filing threshold. Follow the actual OBR request, identify each requested document and record delivery/receipt; do not invent a standard response deadline absent the applicable request/order.

Report taxable adjustments on [corporate return](https://www.obr.bi/images/IR_SOCIETE_2021_VF_CORRIGE_octobre_2021_1.pdf) line 11 and annex 1, with a transaction-level explanatory schedule; this is the general return route, not a claimed dedicated TP form. Use the [corporate Guide](bi-corporate-income-tax.md) for annual deadline, certification and payment, and retain the adjustment calculation, supporting evidence and acknowledged submission. General records are retained ten years under [procedure art. 32](https://www.obr.bi/images/LOI_RELATIVE_AUX_PROCEDURES_FISCALES_ET_NON_FISCALES_2020.pdf).

The official catalogue still points to an order labelled 540/1776 of 31 December 2013, but its direct PDF fetch returned 404; the indexed text also bears inconsistent numbering. Its present operative relationship to art. 57 has not been established. No method hierarchy, language deadline, APA term or TP-specific sanction from that text is asserted as a 2026 filing instruction.

## Penalties and interest

Use [tax overview: Penalties and interest](bi-tax-overview.md#penalties-and-interest) for the general declaration, payment, withholding-default and interest rules. Identify the actual offence and taxpayer class before applying them.

There is no verified TP-specific fixed documentation fine or safe-harbor penalty in this Guide. Tax understatement, information default and interest must be analysed under their actual provisions and the notice received, rather than assigned an unsupported TP tariff.

## Cross-border points

The rule addresses foreign associated transactions and also the privileged/noncooperative-jurisdiction override. Check the [cross-border Guide](bi-cross-border-tax.md) for source, PE attribution, withholding and foreign-credit evidence. No treaty corresponding adjustment, mutual-agreement process or APA is assumed available merely because a foreign group has one elsewhere. [IR art. 57](https://www.obr.bi/images/LOI_N1_14_DU_24_DECEMBRE_2020_PORTANT_MODIFICATION_DE_LA_LOI_N1_02_DU_24_JANVIER_2013_RELATIVE_AUX_IMPOTS_SUR_LES_REVENUS_1.pdf).

## Two worked examples that recompute

Assume a Burundi company books a foreign-controlled service charge of BIF 12,000,000. After the actual service and comparability review, evidence establishes BIF 9,000,000 as the amount properly attributable to the services. Other taxable profit before this adjustment is BIF 20,000,000. Add back BIF 3,000,000 and compute the ordinary corporate component BIF 6,900,000 before the separate turnover-minimum/credit tests. The independent amount is a case assumption, not a statutory safe harbor.

```oa-check
name: Documented price difference
inputs:
  booked_charge: 12000000
  supported_charge: 9000000
  profit_before_adjustment: 20000000
steps:
  - adjustment: booked_charge-supported_charge
  - adjusted_profit: profit_before_adjustment+adjustment
  - ordinary_component: adjusted_profit*0.30
expected:
  adjustment: 3000000
  adjusted_profit: 23000000
  ordinary_component: 6900000
```

Assume the financing is governed entirely by the July rule, pre-interest taxable profit BIF 20,000,000, market-compliant paid related interest BIF 8,000,000 and unpaid accrued related interest BIF 1,000,000. The 30% ceiling permits BIF 6,000,000; total disallowance is BIF 3,000,000. If the extra BIF 1,000,000 were paid, the same ceiling still permits only BIF 6,000,000, so payment alone would not create more deduction. No debt/equity exception is assumed under this wording.

```oa-check
name: July paid versus unpaid financing decision
inputs:
  pre_interest_profit: 20000000
  paid_interest: 8000000
  unpaid_interest: 1000000
steps:
  - ceiling: max(pre_interest_profit,0)*0.30
  - deduction: min(paid_interest,ceiling)
  - disallowed: paid_interest+unpaid_interest-deduction
  - deduction_if_all_paid: min(paid_interest+unpaid_interest,ceiling)
expected:
  ceiling: 6000000
  deduction: 6000000
  disallowed: 3000000
  deduction_if_all_paid: 6000000
```

## Ask the client first

- What are counterparties, ownership/voting links and actual control throughout the year?
- Which jurisdictions and privileged/noncooperative status affect the transaction?
- What goods, services, assets or financing were actually supplied and on what terms?
- What pricing evidence and adjustment analysis exist?
- For debt, what are payment dates, pre-interest profit, adjusted equity, principal and local-market rate evidence?
- What exact period, OBR request, prior ruling or claimed treaty adjustment is involved?

Not yet confirmed: Authenticated current TP implementing order and its method hierarchy, documentation language/deadline, any monetary exemption, annual standalone return, country-by-country filing, safe harbors, APA/MAP execution and TP-specific penalties; annual financing application across the July budget cutover; current local-market average interest evidence. The 2013 order link returned HTTP 404 and is not a completed current-law check.
