## Who this applies to

Corporate residence is not incorporation alone: Liberian formation plus management/control or majority operations qualifies; some local business plus majority resident ownership, and resident partners/trustees, are other limbs. Vessel and nonresident-domestic-entity exceptions apply. Maintaining a bank account/agent/meetings alone is insufficient; a nonresident PE is resident only for attributable income. [s 801(a)–(e)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C11]

A business natural/legal person below LRD 3 m annual turnover falls in 4% presumptive tax unless electing ordinary taxation; petty-trader rules apply to natural persons below LRD 200,000. Do not apply 25% automatically to every registered business. [s 200(c)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C03]

A legal person deriving more than 30% of business from life insurance has 4% gross presumptive income tax instead of ordinary income tax; full insurance computations are outside this Guide. [s 200(b)(2)(B)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C04]

## Rates, bands and thresholds

| Rule | Condition and result | Official source |
|---|---|---|
| C01 | For ordinary resident legal persons outside the statutory special regimes, compare 25% taxable income with 2% gross income; pay the greater. Check the small-taxpayer regime first. | [s 200(b)(2)(C)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C01] |
| C02 | Excess minimum tax over regular tax carries forward for at most the next five tax years; credit cannot reduce later regular tax below that year’s minimum. A duly published sector determination can temporarily substitute a 0.5%–1.5% minimum rate; none is assumed here. | [s 200(b)(2)(C)(i)–(v)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C02] |
| C09 | Renewable-resource extraction generally uses 25%, rice production 15%, mining 30%, petroleum 30%, each compared with 2% gross minimum under the amended sections, with minimum credits and 2025 effective rules. Concession agreements and sector bases are not resolved by these headline rates. | [amended ss 602,702,741](https://www.lra.gov.lr/wp-content/uploads/2025/02/TAX-AMENDMENT-ACT-OF-DECEMBER-2024-AMENDING-THE-LIBERIA-CONSOLIDATED-REVENUE-CODE-AS-AMENDED.pdf) [C09] |

## The base

A resident company’s gross income includes worldwide economic benefits, regardless of source; a nonresident’s gross income includes only Liberia-source economic benefits and is taxed under Chapter8. A nonresident’s permanent establishment is treated as a resident legal person only with respect to income attributable to that establishment, with the related filing and advance-payment requirements. [Revenue Code ss201(c),801(d)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C12]

Deduct ordinary income-production expenses with adequate records. Capital expenditure follows depreciation; personal and excluded-income costs, Liberian or foreign income tax, interest relating to any Liberian tax, fines and bribes are disallowed. Business bad debts need prior inclusion and charge-off; investment losses only offset investment gains with carryforward; ordinary business losses carry no later than the fifth succeeding year. [ss 203(a)–(c),(e),206](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C05]

Interest to persons other than resident banks is capped at interest income plus 20% of EBITDA excluding interest income, under amended s203(d), replacing the old 50%-of-income formula. Deduct only interest attributable to the year and properly paid/accrued. [amended s203(d)](https://www.lra.gov.lr/wp-content/uploads/2025/02/TAX-AMENDMENT-ACT-OF-DECEMBER-2024-AMENDING-THE-LIBERIA-CONSOLIDATED-REVENUE-CODE-AS-AMENDED.pdf) [C06]

Pool heavy movable machinery at 30% and light machinery at 40%; fixed and intangible property use fifteen-year straight-line. Land/inventory are not depreciable. Pool additions enter when placed in service, disposals reduce the pool; excess proceeds create income and a residual below LRD 10,000 can be deducted. Mixed use is apportioned. [s 204(b)–(c)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C07]

A legal person other than a trust/partnership uses accrual accounting. Recognition requires entitlement for income and liability, reliable measurement and economic performance for expense. Method changes generally require prior written permission. [ss 214–216](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C08]

Prepare an accounting-to-tax bridge, apply the interest/depreciation/loss restrictions, compute regular tax and minimum tax separately, compare them, then apply only permitted current credits. The old vague specialised-sector range is replaced by the named statutory regimes. Do not treat an investment certificate or concession as automatically exempting the whole entity.

## Deadlines and filing

Income return and final payment are due by the last day of the third month after the tax year, March 31 for a calendar year. [s 902](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [I10]

Ordinary income-return filers make 2% gross-income quarterly advances, with qualifying resident withholding credits if a TIN was supplied. Due 15 days after quarter end, with the approved statement. Prior minimum-tax carryforward cannot reduce these advances; final annual comparison is separate. [s 904(a),(d),(e)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C10]

The catalogue names Annual Income Tax Return Corporation v 7.1, Partnership return and Quarterly Income Tax Return. Match the entity and attach reconciliations; current electronic boxes remain unverified. Use the official [LRA Forms and Schedules](https://www.lra.gov.lr/forms-and-schedules/) catalogue and [LITAS](https://elitas.lra.gov.lr/) link published by LRA. Select the tax kind, year and TIN; reconcile the return with the working paper and withholding credits; submit the applicable return and schedules, pay against the resulting reference and preserve submission/payment confirmation. The public catalogue was read; live portal screens, box numbers, payment references and a successful filing have not been verified. Stop before submission if the live workflow differs. [amended s50(b),(g),(h)](https://www.lra.gov.lr/wp-content/uploads/2025/02/TAX-AMENDMENT-ACT-OF-DECEMBER-2024-AMENDING-THE-LIBERIA-CONSOLIDATED-REVENUE-CODE-AS-AMENDED.pdf) [O07]

## Penalties and interest

For the general late-filing, late-payment, recordkeeping and interest rules, use [Tax overview](lr-tax-overview.md#penalties-and-interest). Do not invent a fixed interest rate or treat a civil late-payment charge as a criminal conviction.

## Cross-border points

Route resident/nonresident withholding, foreign tax credit, PE exposure and treaty relief through [Cross-border](lr-cross-border.md). Related-party pricing and debt recharacterisation are in [Transfer pricing](lr-transfer-pricing.md).

## Two worked examples that recompute

### Ordinary tax versus minimum tax

Assume ordinary resident company, LRD 10 m gross income and LRD 400,000 taxable profit, no sector relief. Regular tax is 100,000; minimum tax 200,000 controls. Excess minimum tax 100,000 enters the conditional future-credit ledger, not a current advance-payment refund. [s 200(b)(2)(C)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C01] [s 200(b)(2)(C)(i)–(v)](https://www.lra.gov.lr/wp-content/uploads/2021/08/REVENUE-CODE-LIBERIA-REVENUE-CODE-AMENDEMENT-2020-min.pdf) [C02]

```oa-check
name: Ordinary tax versus minimum tax
inputs:
  gross: 10000000
  profit: 400000
steps:
  - regular: profit * 0.25
  - minimum: gross * 0.02
  - liability: max(regular, minimum)
  - minimum_credit: liability - regular
expected:
  regular: 100000
  minimum: 200000
  liability: 200000
  minimum_credit: 100000
```

### Interest restriction changes the tax base

Assume interest is payable to a nonresident lender, business interest 350,000, interest income 20,000 and EBITDA excluding interest income 1 m. The amended cap is 220,000, so 130,000 is disallowed. It is not the old 50% formula. [amended s203(d)](https://www.lra.gov.lr/wp-content/uploads/2025/02/TAX-AMENDMENT-ACT-OF-DECEMBER-2024-AMENDING-THE-LIBERIA-CONSOLIDATED-REVENUE-CODE-AS-AMENDED.pdf) [C06]

```oa-check
name: Interest restriction changes the tax base
inputs:
  expense: 350000
  interest_income: 20000
  ebitda_ex_interest: 1000000
steps:
  - cap: interest_income + ebitda_ex_interest * 0.20
  - deduction: min(expense, cap)
  - disallowed: expense - deduction
expected:
  cap: 220000
  deduction: 220000
  disallowed: 130000
```
