# Malawi company formation and registration v1.4

> **General reference only.** This Guide is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person’s facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in Malawi.

## Who this applies to

**Current-year source hold.** This is a reconstruction of the cited texts for 2026 research intake, not confirmed operative 2026 coverage. The appointed commencement notices for the Tax Administration Act and the 2021 administrative cutover remain unread; period allocation and the complete operative chain are unresolved. [Act 3/2026](https://media.malawilii.org/media/legislation/15519/source_file/2e96ab6e73cdf961/mw-act-2026-3-publication-document.pdf) has been read, but that does not close this hold. Do not use this draft to determine an actual 2026 tax position, file, pay or complete a live registration. The examples apply the stated source-text assumptions only.

This expands the tax handoff into a company-law working paper based on the original **Companies Act 15 of 2013**, reproduced by the Institute of Chartered Accountants in Malawi. Section 1 requires appointed commencement; neither that notice nor a complete later amendment chain has been established here. Treat the provisions below as cited-text rules, not a current consolidated Act. Business-name registration, investment licences, immigration and sector permissions are separate jobs. [Companies Act 1, 23–29](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

The 14-day tax provision is not an incorporation service promise. No universal minimum capital, present fee or processing time is established by this Guide.

## The base

**Choose and document the legal form.** A one-person company has an individual as both sole shareholder and sole director and excludes a company as sole shareholder under the Act’s definition. A single-member private company and this defined one-person company are not interchangeable labels. State-owned companies follow the public-company provisions subject to a gazetted exemption. Shareholder liability is not simply zero: section 72 preserves unpaid shares, recoverable distributions, liabilities expressly in the constitution and calls. [Companies Act 2, 23, 26, 72](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Build the incorporation file.** Use the prescribed application signed by every applicant. Attach director/secretary consent and non-disqualification declarations; each proposed shareholder’s consent to the class, number and consideration for shares; any agent’s written authority; a reservation notice if any; and the required certified memorandum where proposed. For a guarantee company, obtain each member’s consent and stated contribution undertaking, including the statutory former-member period and pre-cessation debts. Record applicant identities and addresses, directors’ present/former names and residential addresses, business occupations/public-company directorships, shareholders and consideration, company type, registered office, prescribed information, and the one-person nominee details where applicable. The applicant declares truth and correctness. [Companies Act 28(1)–(4)](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Separate acceptance from application.** After compliance and the prescribed fee, the Registrar enters the company, allocates its number and issues the incorporation certificate. The certificate is conclusive evidence of incorporation requirements and the stated incorporation date; the registered company is a body corporate until removal. A filed document does not by itself create a presumption that its contents are correct. [Companies Act 6(8), 29–32](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Keep capital and ownership records accurately.** Section 30’s statement identifies share numbers, each class’s rights and numbers, applicable legacy nominal amounts, and paid/unpaid amounts. New shares under 87(1) have no face value: consideration per share is not a statutory nominal amount. Transferability follows the constitution under 86. Private companies are exempt from the section 145 share register, but 144 still requires proper records of shares/debentures issued and transferred. A proper transfer instrument is required, subject to transmission by operation of law; the company registers a lodged transfer or notifies refusal with reasons. [Companies Act 30, 65, 86–87, 137–138, 144–145](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Adopt and maintain the constitution.** The memorandum/articles bind the company and members subject to the Act. If none are filed, the prescribed model is deemed adopted. Do not invent the model’s contents without reading the actual regulations. Check name availability, prohibited/consent-required names and the relevant suffix; a reservation does not entitle the applicant to registration. Maintain at least one office in Malawi and file changes to its particulars. Public companies require a secretary; the reproduced private-secretary wording in 68(1) contains a double negative, so no unconditional exemption is adopted here. [Companies Act 33–35, 45–50, 55, 68, 223](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Director checks remain substantive.** Obtain written consent and certification of non-disqualification, then test the full eligibility provisions, including natural-person rules, minimum age, public-company age exception, bankruptcy, prohibition, capacity and constitutional qualifications. Do not treat a passport or local address alone as approval. [Companies Act 164–166](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

**Retain the tax handoff.** Identify the actual legal taxpayer, existing TIN, identity evidence and prescribed supporting documents. A business becoming potentially liable applies under 21; one nontransferable TIN is used across tax laws, and true identity/no existing TIN condition issuance. Use it on tax claims, notices, returns and statements. Company incorporation is not VAT enrolment or employer registration: route the separate scope to [VAT](mw-vat-gst.md), [payroll/social](mw-payroll-social.md) and [company tax](mw-corporate-income-tax.md). ## Deadlines and filing

| Cited-text event | Filing or preparation rule | Source |
|---|---|---|
| Constitution adopted, altered or revoked | Board delivers approved notice within 14 days | [Companies Act 35(2)](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Financial statements | Every company’s board completes and dates/signs within six months of balance-sheet date; two directors, or the sole director; Registrar can extend | [Companies Act 245](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Group statements | Company with subsidiaries at balance-sheet date prepares group statements within six months | [Companies Act 248](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Annual report/accounts | Six-month rule with private unanimous-resolution and one-person exceptions; distinguish from statements themselves | [Companies Act 251](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Report sent to shareholders | At least 14 days before annual meeting, subject to written unrevoked waiver | [Companies Act 253](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Registry filing of report/accounts | Companies other than private: within 28 days after required signing | [Companies Act 255](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| Annual return | Once each year; normally within 28 days of annual meeting, signed by director/secretary; separate eight-week branch-register rule; incorporation-year return wording is “may not” | [Companies Act 256](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf) |
| TIN details change | Written notice within 21 days | [TAA 22(7)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/42eb322b-f2a9-48b9-baaf-01c2ade040f5/content) |

Statement standards distinguish private-company orders/standards/IFRS or IFRS for SMEs from other companies; foreign-currency presentation needs the Registrar’s approval and statutory conditions. Do not apply a blanket private-company audit exemption: section 244’s reproduced introductory wording is problematic, and its shareholder-demand provision requires attention. Annual meetings dispensed with under 66 and the annual-return trigger under 256 need the actual regulations/current procedure, not an invented calendar deadline. [Companies Act 66, 244–249](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

## Penalties and interest

The Registrar can require a default to be made good within 14 days of notice under 17; failure refers to the prevailing penalty schedule. Section 5 enables fees and a gazetted penalty schedule. Do not invent current amounts from the original Act. TAA 22 permits registration of a taxpayer who failed to register; 23 prohibits false TIN representation. Neither step cures other defaults. [Companies Act 5, 17](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf); [TAA 22–23](https://elibrary.rat.gov.mw/server/api/core/bitstreams/42eb322b-f2a9-48b9-baaf-01c2ade040f5/content).

## Cross-border points

A foreign company with a place of business or carrying on business in Malawi falls within Part XV. The statute lists activities that alone do not constitute carrying on business, including holding a bank account and the narrowly conditioned isolated transaction. This company-law test is not the tax permanent-establishment test. [Companies Act 357–358](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

Within 30 days after establishing a place or starting business, 360 requires authenticated incorporation/constitutional documents, directors’ list, applicable local-board powers, service authority for at least two persons resident in Malawi, not including a foreign company, local-office notice and agents’ declaration. Provide the executing agent’s authority where required; the Registrar can require authenticated English translations. The foreign office must be publicly accessible at least four hours on each day other than Saturday, Sunday or a public holiday. Changes in the listed particulars are generally filed within 30 days. Annual financial statements and the notice of Malawi business particulars are separate obligations, subject to ministerial exceptions. [Companies Act 360–366](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

For a nonresident without a fixed place of business who is required to register for tax, TAA 28(2) requires a representative taxpayer in Malawi. That does not replace the company-law agents or establish treaty residence. Use [cross-border tax](mw-cross-border-tax.md) for the separate source/nonresident/credit working paper. [TAA 28(2)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/42eb322b-f2a9-48b9-baaf-01c2ade040f5/content).

## Two worked examples that recompute

**Decision: qualify the private member count.** Assume 49 separate members and one jointly held shareholding of two people, no other memberships, and the section 23 public-offer prohibition. The statutory count is 50, within the cap; counting the joint holders separately gives 51 and wrongly rejects the form. The count does not establish the other incorporation conditions. [Companies Act 23(1)–(2), 63](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

```oa-check
name: Joint holders counted once for private membership
inputs:
  separate_members: 49
  joint_groups: 1
  persons_in_joint_group: 2
  cap: 50
steps:
  statutory_members: separate_members + joint_groups
  wrong_person_count: separate_members + persons_in_joint_group
  statutory_headroom: cap - statutory_members
  wrong_excess: wrong_person_count - cap
expected:
  statutory_members: 50
  wrong_person_count: 51
  statutory_headroom: 0
  wrong_excess: 1
```

**Decision: no-par issue consideration, not nominal capital.** Assume a newly incorporated company after commencement, equal ordinary rights and agreed consideration of K1,000 on each of 150 shares, with K120,000 received. The unpaid K30,000 must remain visible in the statement and shareholder-liability review. It is wrong to call the paid K120,000 the whole agreed amount or to label K1,000 a statutory face value. This replaces the former purely hypothetical nominal-share arithmetic; it sets no minimum capital or fee. [Companies Act 30, 72, 87](https://www.icam.mw/wp-content/uploads/2019/08/Companies-Act-No-15-of-2013-150dpi.pdf).

```oa-check
name: Reconcile agreed no-par share consideration
inputs:
  shares_a: 90
  shares_b: 60
  consideration_per_share: 1000
  paid: 120000
steps:
  shares: shares_a + shares_b
  agreed_consideration: shares * consideration_per_share
  unpaid: agreed_consideration - paid
expected:
  shares: 150
  agreed_consideration: 150000
  unpaid: 30000
```
