The full skill

The power to adjust is in section 116 of the Income Tax Act, Chapter 338 (Revised Edition 2024; section 90 of the old Cap. 340). The detailed rules are in the Income Tax (Transfer Pricing) Regulations 2011, made under that section and in force from 1 July 2011. The Income Tax (Amendment) Act 2026, in force from 1 July 2026, adds a direct duty: a person who enters into a controlled transaction must account for it consistently with the arm's length principle. The Uganda Revenue Authority (URA) administers the rules. Uganda's year of income normally runs from 1 July to 30 June, so this skill covers the year to 30 June 2027.

Who this applies to

  • Associates (ITA s3).
    • General test: a person (other than an employee) who acts in accordance with another person's directions, requests, suggestions or wishes is that person's associate, whether or not they are in business together.
    • Relatives and partners are associates unless the Commissioner General is satisfied that neither acts on the other's directions.
    • 50% control: a company in which a person, alone or with associates, controls 50% or more of the voting power, directly or through interposed companies, partnerships or trusts (s3(2)(e)); a partnership in which the person, alone or with associates, controls 50% or more of the rights to income or capital (s3(2)(c), (f)). The reverse is also caught: a person controlling 50% or more of the voting power in a company is that company's associate, and so is another company in which that same person controls 50% or more of the voting power (sister companies, s3(2)(h)).
    • Trusts: a trustee and the beneficiaries.
  • Controlled transaction. A transaction between associates (TP Regulations r3; Income Tax (Amendment) Act 2026). The Regulations apply where one party is located in, and taxable in, Uganda and the other is in Uganda or abroad (r2). Domestic related-party dealings are therefore covered too. Section 116 also reaches transactions between persons in an employment relationship.
  • Branches. A branch and its head office are treated as separate persons, and as associates of each other (r5). "Branch" means a treaty permanent establishment where a treaty applies, and otherwise the ITA branch definition (r3, which cites s78 of the old Cap. 340; that definition is s77 in Chapter 338).
  • Transactions covered. Any arrangement, understanding, agreement or practice, legally enforceable or not, including dealings between a branch and the rest of the person (r3).

Not covered here, refer to a specialist: the interest-deduction cap (see ug-corporate-income-tax), mining and petroleum transfer pricing, treaty mutual agreement procedures, and any country-by-country or master and local file rules (none found in the texts read; see "Not yet confirmed").

The base

The duty (Income Tax (Amendment) Act 2026; TP Regulations r7(1)). A person in a controlled transaction, or a series of them, must work out the income and expenditure from it consistently with the arm's length principle. That principle means the results must match those independent persons would have realised dealing under the same conditions (r3).

The adjustment.

  • If the person does not comply, the Commissioner may adjust income and expenditure to arm's length (r7(2)).
  • Under ITA s116(1), the Commissioner General may distribute, apportion or allocate income, deductions or credits between associates to reflect arm's length chargeable income.
  • Income from transferring or licensing intangible property between associates may be adjusted so that it is commensurate with the income attributable to the property (s116(2)).
  • In making either adjustment, the source and the nature of a payment (revenue or capital) may be redetermined (s116(3)).
  • Separately, s117 lets the Commissioner General re-characterise tax avoidance schemes and disregard transactions without substantial economic effect.

Methods (r3, r7). Five methods are allowed:

  • comparable uncontrolled price (CUP);
  • resale price;
  • cost plus;
  • transactional net margin method (TNMM);
  • transactional profit split.

Use the most appropriate one, weighing:

  • the methods' strengths and weaknesses;
  • the functional analysis;
  • the reliable information available;
  • the degree of comparability (r7(3)).

If the person used an appropriate method, URA's examination is based on that method (r7(4)). Another method is allowed only if none of the five can reasonably apply and its result is consistent with independent dealings (r7(5)).

Comparability (r4). The factors are:

  • the characteristics of the property or services;
  • functions, assets and risks;
  • the contract terms;
  • economic circumstances;
  • business strategies.

OECD guidance (r6). The Regulations are applied consistently with Article 9 of the OECD Model Tax Convention and the OECD Transfer Pricing Guidelines, as updated. Where they conflict, the Act prevails.

Documentation (r8). Record in writing enough information and analysis to verify that controlled transactions are at arm's length. It must be in place before the return for the year is due. The Commissioner may specify the required items by notice.

Advance pricing agreements (r9). A person may ask for an advance pricing agreement (APA) covering future controlled transactions for a fixed period. The request must include:

  • the person's activities and the transactions;
  • the proposed method and comparability factors, with the critical assumptions;
  • any other country to involve.

The Commissioner may accept, reject or modify the proposal, alone or with other competent authorities. An APA is cancellable for material non-compliance, a breach of a critical assumption, a relevant change in the law, or misrepresentation.

Corresponding adjustments (r10). If a treaty partner adjusts the same transaction, URA will make a corresponding adjustment on request where the foreign adjustment is at arm's length.

Penalties and interest

  • Arm's length or documentation offences. Failing the arm's length duty (r7) or the documentation duty (r8) is an offence. The penalty on conviction is imprisonment up to six months, a fine up to 25 currency points (UGX 500 000 at UGX 20 000 a point, ITA Sch. 1), or both (r7(6), r8(4)).
  • Interest. Tax not paid by its due date, including tax an adjustment shows was due, carries simple interest of 2% per month from the due date until payment; interest above the principal tax plus penal tax is waived (ITA s148(1), (5), (7)).
  • Penal tax. Penal tax on the adjustment and for not handing over TP records is set by the Tax Procedures Code Act, whose current text was not read for this version; see "Not yet confirmed".

Cross-border points

  • Branches: a Ugandan branch of a foreign company and its head office are separate, associated persons for transfer pricing (r5). Branch profits tax on repatriated income is in ug-cross-border.
  • Payments to a foreign associate:
    • management charges and royalties bear 15% final withholding (ss82, 87);
    • an amount above arm's length can also be disallowed under s116.
  • Treaties: they prevail over the Act except for Part XI (anti-avoidance, including s116) and the treaty-benefit test (s88(2), (7)). Transfer pricing adjustments therefore apply even where a treaty exists.

Two worked examples that recompute

Example 1: under-remunerated Ugandan distributor

Nile Distributors Ltd (Uganda, 30 June year end) buys all its stock from its Kenyan parent, which owns 100% of it. In the year to 30 June 2027, sales are UGX 8 000 000 000 and its operating margin is 1%. A TNMM benchmark of independent distributors gives a 5% operating margin.

  • Adjustment: (5% - 1%) x 8 000 000 000 = UGX 320 000 000 of extra chargeable income.
  • Extra tax at 30%: UGX 96 000 000.
  • Documentation: the TNMM study and the functional analysis must exist before 31 December 2027, when the return is due. Otherwise the r8 offence is also in play.
name: Uganda distributor TNMM adjustment, sales UGX 8bn, 1% vs 5% (2026-27)

  sales: 8000000000
  actual_margin: 0.01

  - extra_tax: adjustment * rate
expected:
  adjustment: 320000000.00
  extra_tax: 96000000.00

Example 2: management charge to a foreign parent above arm's length

Kampala Assembly Ltd pays its UK parent a management charge of UGX 500 000 000 for the year. A benchmark shows that UGX 300 000 000 is arm's length. Assume no treaty reduction applies.

  • Withholding: 15% x 500 000 000 = UGX 75 000 000. This is withheld on the gross charge and is the parent's final tax (ss82, 87).
  • Section 116 adjustment: the excess of UGX 200 000 000 is disallowed. Extra tax at 30% = UGX 60 000 000.
  • Total Ugandan tax cost of the charge: 75 000 000 + 60 000 000 = UGX 135 000 000.
name: Uganda management charge UGX 500m, arm's length UGX 300m (2026-27)
inputs:
  charge: 500000000
  arm_length_charge: 300000000
  wht_rate: 0.15
  cit_rate: 0.30
steps:
  - wht: charge * wht_rate
  - disallowed: max(0, charge - arm_length_charge)
  - extra_cit: disallowed * cit_rate
  - total_tax_cost: wht + extra_cit
expected:
  wht: 75000000.00
  disallowed: 200000000.00
  extra_cit: 60000000.00
  total_tax_cost: 135000000.00
