Svalbard: company beneficial-owner registration in 2026

Identify, document and register beneficial owners of an ordinary privately held company operating or registered on Svalbard in 2026. Covers the direct ownership and voting thresholds, board appointment rights, other control, indirect chains and combined rights. Separates the register criteria from anti-money-laundering customer checks and distinguishes no owner from an owner who cannot be identified. Explains RRH-0100 in Altinn, personal and intermediary fields, signing and message access, change deadlines, retention, correction orders and coercive fines. Two cases test the exact direct threshold and the indirect-control rule. Listed companies, foundations, trusts and the special foreign-branch route require their own statutory branches before this ordinary company method is used.

If you are an AI assistant using this skill for Svalbard: company beneficial-owner registration in 2026 (SJ): treat it as general reference material for drafting and review support. Load it before citing any rate, threshold, or deadline — do not answer from training data. Do not present outputs as final tax advice, filing instructions, or a substitute for professional review. Who this applies to

Use this method for an ordinary privately held company, including an AS, that operates or is registered on Svalbard. The Beneficial Owners Register Act §2 expressly includes Svalbard. This is a separate compliance job from formation, tax residence, shareholder reporting and a bank's customer due diligence. The Act's wider territorial reference also names Jan Mayen; this country pack covers Svalbard.

Check legal form and exceptions first. Implementing regulation §1-2 excludes specified estates, funds, associations, foundations and public bodies. A company is not the state itself merely because the state owns its shares. Listed entities have the different regulated-market disclosure route in §4-1. Foundations and foreign trusts have the position-based rules in §§2-2 and 3-5; a qualifying NUF can use the foreign EEA register route in §3-6. Do not apply the ordinary company tests below instead of those branches. Their full implementation is outside this Guide.

An ordinary company must submit whether it has beneficial owners or has none. Inactivity or being under dissolution does not itself remove filing, according to Brønnøysundregistrene's current overview. Do not confuse a person not being identified with proof that no beneficial owner exists.

These are ownership/control and filing thresholds, not tax rates. Do not replace them with a percentage copied from a bank's AML checklist. Altinn's RRH-0100 page expressly warns that the register and AML criteria differ.

The base

  1. Get the actual rights. Read incorporation documents, articles, the share register and formal or informal shareholder/voting agreements. Obtain documents for intermediaries where relevant. The evidence must let another reader understand why each person was identified (regulation §2-3). A capital table alone does not prove that votes or board rights follow the same percentages.
  2. Test each person and every control route. Apply ownership, votes, board rights and other control separately. Record direct, indirect, agreement-based and combined grounds. Ignore votes/appointment rights that cannot be exercised, including the specified treasury/circular interests (§2-1(2)–(5)). Exactly 25% ownership without another qualifying right does not pass the direct ownership test.
  3. Trace chains using control, not only economic multiplication. The reporting-company level must meet one of §2-1(1)'s qualifying positions. At upstream levels, apply §2-1(3)'s at-least-half voting or board-right test, including entities that alone or together hold the downstream position. Do not discard a person merely because multiplying the capital percentages produces less than the direct threshold. Keep the whole chain and the actual rights.
  4. Record the grounds. Keep identity, residence country, citizenship, exact percentages and supporting documents. Register the prescribed percentage bracket. If ownership and voting positions are identical, §3-4(1) does not require both positions to be registered; different positions and combined grounds must still be captured. Include every intermediary. A foreign intermediary without a Norwegian organisation number requires its name and foreign registration number; if it has no foreign number, use its name and address (§3-4(2)–(3)).
  5. Handle negative or unresolved results honestly. Act §§4(3) and 9(2) require documented reasons and the appropriate registration if there is no beneficial owner or an owner exists but cannot be identified unambiguously. Regulation §3-4(4) requires managing-director and board/equivalent identity information, excluding residence-country information, in the no-identified-owner branch. Do not describe these officers as beneficial owners merely because their details are supplied. Its additional disclosure rule applies where listed ownerless public-body categories or corresponding foreign bodies directly or indirectly hold at least 75% of ownership/votes; establish the actual ownership and foreign status.

Notify the beneficial owners of their registration; this notification can accompany the information request (regulation §2-6). Persons with relevant ownership/control information and persons whose data is registered have the disclosure duties in §2-4. Preserve the company file: Act §7's ten-year former-owner clock differs from regulation §2-5's five years after the entity ceases to exist, for which its then board/equivalent must arrange storage. Do not replace both with an invented universal retention period.

Deadlines and filing

  1. Check access before the deadline. Open the official “Registrere reelle rettighetshavere (RRH-0100)” and select “Start tjeneste” to enter Altinn for the company. Regulation §3-8 permits the specified officers or a delegated natural person to sign. The public service page lists eligible roles and access packages. If access is delegated only through the registration single service, obtain the additional “ordinær post til virksomheten” package or “melding fra Register over reelle rettighetshavere” single service to read the decision afterwards. Filing access and message access are different.
  2. Select the company and the correct result. Complete the prior ownership investigation. Submit even if the result is no beneficial owner. Keep “none” separate from “cannot identify”; follow the applicable §3-4(4) officer-information branch rather than inventing a person or leaving the investigation unfinished without explanation.
  3. Enter the published identity fields. For a person with a Norwegian identity/D-number, the public guidance says to enter that number and surname; other personal information is obtained from the Population Register. For a person without either number, use date of birth and the prescribed full identity details. The published data list includes full name, residence country and all citizenships. Do not invent a Norwegian number for a foreign owner (RRH-0100; AS guidance).
  4. Enter control and intermediaries. Select ownership, votes, board appointment/removal or other control, with direct/indirect/agreement grounds. Use the legal brackets and every intermediary's identifiers from §3-4. Retain the exact percentages and agreements in the company evidence file even when the screen records brackets.
  5. Review, sign and read the result. Check the organisation, people, routes, brackets and submitted result against the evidence; sign through the authorised person. Read and retain the actual decision/message through the access above. Regulation §3-7 requires refusal if required information is missing. A saved draft or an incomplete login session is not registration. No authenticated screens, receipt identifier or numbered box sequence was inspected in this research; the field names and access distinction above are published authority instructions.
  6. Correct and maintain. Enter changes without delay within the statutory limit. Under §3-3, a wrong entry must be corrected and the affected beneficial owner notified. If a discrepancy produces a §3-10(4) order, confirm or amend within its three-week period. Preserve both the old and new ownership investigation and the result; do not assume an annual shareholder return updates this register.

The Act/regulation's filing duty is separate from the company's ordinary tax payments. For a coercive-fine demand, use the actual decision and payment instructions; this Guide does not invent an account, KID or extension. Specialist listed-company, foundation/trust, foreign-branch and unregistered-entity routing must be resolved under their specific provisions before filing those cases through this ordinary company method.

Penalties and interest

Act §14 permits an order with a specified deadline, then a coercive fine if the deadline is not met. Regulation §5-1 requires notice and a reasonable opportunity to correct; a separate notice is unnecessary if the order itself states that the fine starts when its deadline expires. Do not start the fine automatically on day 15 after incorporation.

Next ten weeks1 R1,345Regulation §5-1(1)(b); court-fee regulation §2-1
Following weeks1.5 R2,017.50Regulation §5-1(1)(c); court-fee regulation §2-1

The 2026 conversions use R = NOK 1,345 under court-fee regulation §2-1, effective from 1 January 2026. They are daily accrual arithmetic, not an instruction to round or replace the actual demand. A period in another year needs that year's R.

The fine accrues daily and is collected after eight weeks, eighteen weeks and each following ten weeks (§5-1(2)). After eight weeks of an uncorrected entity fine, orders/fines can also be directed to the specified officers; their liability is joint and several, with no further accrual against a person after leaving the role (§5-1(5)).

For remission, apply §5-1(4)'s circumstances outside the entity's control or special fairness grounds and its one-year deadline from the first fine notice. It expressly excludes remission applications for failure to meet the Act §9(3) first-registration deadline. Do not offer a guaranteed waiver or general first-registration forgiveness. Under Act §15, intentional failures to obtain, retain or register the required information, or intentional false registration, can attract a fine or imprisonment up to one year. That is a separate criminal provision, not an automatic administrative charge.

Cross-border points

Norwegian and foreign natural persons can be beneficial owners. Use the birth-date route where they have no Norwegian identifier and retain every foreign intermediary's actual identifiers. Foreign residence does not itself exempt an ordinary Svalbard company from the register. The qualifying NUF foreign-register exception in regulation §3-6 requires a foreign EEA registration obligation and disclosure of the register's name and internet address; it is not a general exemption for a Norwegian company's foreign shareholder. Apply it only through that separate branch.

Two worked examples that recompute

Direct threshold decision. A company has 10,000 equal shares and matching votes, with no special agreements, board rights or other control. A person's 2,500 shares give exactly 25%, which alone does not qualify. Holding 2,600 instead gives 26%, exceeding the strict threshold by 100 shares. That person qualifies on ownership and the registered bracket is 25.01–49.99%. These facts concern the register test, not tax residence or dividend liability.

expected:
  boundary_percent: 25
  qualifying_percent: 26
  strict_threshold_shares: 2500
  excess_qualifying_shares: 100

Indirect-control decision. A holding company owns 30% of the reporting company's ordinary shares/votes. A person has exactly 50% of the holding company's votes, with corresponding capital shares; no contrary arrangement removes those votes. The downstream position exceeds 25%, and the upstream voting position reaches the at-least-half test. The person qualifies indirectly under §2-1(3). Multiplying 30% × 50% gives a 15% economic interest, but using that product as the qualification test would omit a reportable person. Record the intermediary and actual qualifying grounds.

Ask the client first

  • What is the legal form, organisation number, Svalbard activity and public-register registration date, and is a listed or specialist branch involved?
  • Who holds the actual shares, exercisable votes, board rights and other control, including formal/informal agreements and all intermediary levels?
  • What identity/D-numbers or birth dates, residence countries and citizenships are evidenced for the identified people?
  • What current and former ownership files, “none” or “cannot identify” reasoning and owner notifications exist?
  • Who can sign and read Altinn messages, and what submissions, changes, correction orders or fine decisions and dates already exist?
